Terms & Agreements 

1. Services. To understand and clarify the services and relationship, Client and Coach acknowledge and agree that:
   1. Coaching is a relationship which is designed and defined by the Client with the Coach’s agreement, and which is based on the Client’s expressed interests, goals, and objectives. B. Coach uses discussion, questions, and requests to assist Client as Client identifies personal goals, develops strategies and action plans intended to achieve such goals, and monitors progress towards implementation of the action plans. C. Coach does not provide counselling, therapy, Diagnoses, advice, answers, or direction to Client. D. Client is responsible for his or her own achievements and success and Coach cannot and does not promise that Client will take any specific action or attain specific goals.  As such, the Client agrees that the Coach is not and will not be liable or responsible for any actions or inaction, or for any direct or indirect result of any services provided by the Coach. E. Client understands coaching is not therapy and does not substitute for therapy if needed, and does not prevent, cure, or treat any mental disorder or medical disease.

2. Fees. This program is non-refundable, and if you are using a payment plan you are obligated to pay as agreed, on the dates agreed and in full, regardless of how you utilise the program. If payments are late or not fulfilled you will be removed from the program until payments are back in good standing and fulfilled.
3. Client agrees to payment terms as set out on the registration web pages. Payment may be made by credit card (MasterCard and Visa). Breanna Hunter reserves the right to suspend or cancel your registration for a course when Breanna Hunter has not received payment of the Fees strictly in accordance with the payment schedule you elect.
4. Confidentiality. Coach acknowledges that he/she may obtain confidential personal and/or business information from Client and agrees to keep and maintain such information confidential and not to disclose or use such information without Client’s prior written consent. The client authorizes Breanna Hunter to use the client's name and photograph in marketing material, social platforms including on the Miss Mindset website and in promotional documents. The Client may Withdraw permission for Breanna Hunter to use clients name and logo in any marketing material at any time by providing a written notice to Breanna Hunter. 
5. Intellectual Property Ownership
   1. The Intellectual Property in the Services or any document or thing related to the services, and any additions or enhancements incorporated into the Services by Breanna Hunter is owned by Breanna Hunter.
   2. While this agreement is in force, Breanna Hunter provides a non-exclusive, non-transferrable, royalty free licence to the Client to access, use, customise, communicate and reproduce Breanna Hunter’s Intellectual Property to the extent necessary for the Client to obtain the benefit of the Services. When this agreement ends or is terminated, the licence specified in this clause is automatically revoked, and the Client no longer has any permission to access, use, customise, communicate or reproduce any of Breanna Hunter’s Intellectual property.
   3. The Client is under no circumstances to recreate, repurpose or reuse any Breanna Hunter’s material to teach to their own customers or communities, resell the content for profit or reuse for any other purposes other than what is outlined in this agreement. 
   4. The Intellectual Property in any of the Client’s pre-existing material owned by the Client prior to the commencement of this agreement and used in the delivery of the Services is owned by the Client. 5. The coaching calls are generally recorded.. You agree to such recording without Breanna Hunter giving you notice, and to us using the recordings for training, promotional and marketing purposes. 

5. Waiver. Client acknowledges and agrees that in the course of the services Coach may ask Client questions which may be personal, challenging or disturbing. Client has chosen to undergo coaching services with or without the written consent of their current health professional. Client waives and releases any claims arising or resulting from Coach’s questions, actions or services except for Coach’s breach of his obligations mentioned above. This waiver does not apply to conduct or actions outside the scope of the coaching services.
6. Dispute Resolution. Any controversy or claim arising out of, or relating to, this Agreement or the services provided, shall first be submitted to mediation for an attempt at resolution, with such mediation being conducted by a mutually agreeable party. If the dispute is not resolved by mediation of not less than six hours duration, the dispute shall be settled by binding arbitration in Australia, Australia through and in accordance with the rules existing. The arbitrator shall not have any power to alter, amend, modify or change any of the terms of this Agreement nor to grant any remedy which is either prohibited by the terms of this Agreement, or not available in a court of law. 
7. Damage Limitation and Liquidated Damage. The parties agree and acknowledge that Coach is not a guarantor nor an insurer and that the fees provided for hereunder would be substantially higher if Coach was to undertake such responsibilities. The Client also agrees it would be extremely difficult and impractical to fix actual damages to Client, if any, which may result from a failure to perform by Coach. It is therefore agreed, that if Coach is found liable for any loss or damage due to a failure to perform or other breach of this agreement (excluding only willful misconduct), Coach’s liability shall be limited to the total of all payments made by Client or a sum equal to the last six months of Client’s payments to Coach, whichever amount is less.
8. Nature of Agreement. This Agreement shall, in all respects, be governed by the laws of Australia applicable to agreements executed and to be performed within Australia. This Agreement constitutes the entire understanding and agreement of the parties and no amendment, change or modification of this Agreement shall be valid, unless in writing and signed by all of the parties hereto. 
9. Refunds. Client understands this course is non refundable.
